Acceptance of Terms
These Terms and Conditions (“Terms”) constitute a legal agreement between you (the user of our Service) and Interactive Care (“Interactive Care,” “we,” “us,” or “the Company”), the operator of the website intcare.org and related online services (collectively, the “Service”). By accessing or using the Service in any way (whether as a clinician with an account or as a patient using an access code), you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree with these Terms, do not use the Service.
By accepting these Terms, you also agree to any additional terms, policies, or guidelines incorporated herein by reference, including our Privacy Policy (described below). If you use the Service on behalf of an organization or another person (for example, if you are registering an account for a clinic or if you are a caretaker assisting a patient), you represent and warrant that you have the authority to bind that entity or person to these Terms. In that case, “you” shall also refer to that entity or person. These Terms will apply regardless of the platform or device you use to access the Service.
Eligibility
You must be eligible to use the Service. By using Interactive Care, you represent and warrant that you are at least 18 years old (or the age of majority in your jurisdiction) and are otherwise legally qualified to enter into this Agreement. Clinicians (healthcare provider users) must be licensed medical professionals or authorized healthcare providers, or their authorized representatives, and must only use the Service within the scope of their professional authorization. If you register an account as a clinician, you further represent that you hold all necessary licenses and credentials to provide healthcare services to patients.
We do not impose any geographic restrictions on who may use the Service – Interactive Care is accessible worldwide. However, you are responsible for ensuring that your use of the Service is in compliance with all laws and regulations applicable to you in your locale. If you are accessing the Service from a jurisdiction where the use of AI-powered healthcare support tools is restricted or illegal, you must not use the Service. If a patient user is a minor or under guardianship, the clinician providing the access code is responsible for obtaining any necessary parental/guardian consent and supervising the use of the Service.
Description of Services
Interactive Care is an online, AI-powered platform that provides virtual patient care support through interactive digital avatars. The Service offers tools to assist clinicians in delivering care to patients remotely or in clinical settings. Key functionalities of Interactive Care include, but are not limited to: patient history taking, where the avatar can guide a patient through medical intake questions; procedure explanations, where the avatar provides patients with information about upcoming treatments or surgeries in an accessible manner; and post-operative or post-treatment care support, offering patients guidance on recovery and follow-up steps. These interactive avatars use artificial intelligence to simulate conversational interactions, helping to engage patients, collect preliminary information, and educate patients on medical topics as directed by the clinician.
While the Service employs advanced AI and interactive graphics to enhance patient care, it is fundamentally a support tool for healthcare professionals and patients. It is not a replacement for direct professional medical judgment, diagnosis, or treatment. Interactive Care does not provide medical advice or make clinical decisions on its own; instead, it delivers information and educational content based on the data input and algorithms, which must be interpreted and used by qualified clinicians. All outputs from the Service (for example, symptom checklists, suggested questions, educational explanations, or care instructions) are intended to supplement the clinician’s own interactions and decisions. Clinicians remain responsible for verifying information obtained through the Service and for providing actual medical advice and care to their patients.
Interactive Care is available to users globally (with no geographic limitations imposed by us), via our website (intcare.org) and any official mobile or desktop applications we might offer. You are responsible for providing the equipment (such as a computer or mobile device) and internet connectivity necessary to access the Service. We strive to keep the Service available and operational at all times, but we do not guarantee uninterrupted access (see Disclaimers below). The features and functionalities of the Service may evolve over time as we improve our platform, and we reserve the right to add, change, or remove features at our discretion, consistent with the provisions of these Terms.
Clinician Registration and Fees
Clinician Account Registration: To use Interactive Care as a clinician, you must create a user account. When registering, you agree to provide accurate, current, and complete information about yourself as requested (including your name, contact information, professional credentials, and payment information, as applicable). You agree to keep your account information updated and to promptly notify Interactive Care of any changes. You are responsible for maintaining the confidentiality of your login credentials (username and password) and for all activities that occur under your account. You must not share your account credentials with anyone who is not authorized to act on your behalf. If you believe that your account has been compromised or used without authorization, you must notify us immediately. Interactive Care will not be liable for any loss or damage arising from unauthorized use of your account, and you may be held liable for losses incurred by us or others due to such unauthorized use.
Fees and Payment: Use of the Service by clinicians is subject to payment of subscription or usage fees, as established by Interactive Care. By creating a clinician account and providing payment information, you agree to pay all applicable fees associated with the Service. The pricing, billing frequency (e.g., monthly or annually), and permitted payment methods will be disclosed to you during the sign-up process or in a separate service agreement or order form. All fees are due in advance (unless otherwise specified) and are non-refundable except as required by law or expressly stated in these Terms. Interactive Care may use third-party payment processors to bill you through the payment method you provide. By submitting payment information, you grant us the right to charge the designated payment method for the subscription fees, and any applicable taxes or charges, on a recurring basis (if it’s a subscription) until you cancel your account or the Service is otherwise terminated. It is your responsibility to ensure that your payment information is current and that you have sufficient funds or credit available for each billing cycle.
Changes to Fees: Interactive Care reserves the right to modify the fees for the Service or introduce new fees. If we do so, we will provide advance notice to you (for example, by email or via the Service) of the change in pricing. Fee changes will not apply retroactively; they will only apply from the start of your next billing period or other stated effective date after the notice. If you do not agree to a fee change, you may need to cancel your subscription before the new fees take effect to avoid incurring the new rate (see Termination below for cancellation terms). Your continued use of the Service after the new fee takes effect constitutes your agreement to pay the updated amount.
Account Use and Responsibilities: As a clinician, you agree to use Interactive Care only for purposes related to your professional practice and patient care. You must ensure that your use of the Service (including any data you enter or instructions you give to patients through the platform) complies with all applicable laws, regulations, and professional standards, including those governing the privacy of patient information and the practice of medicine or other health professions in your jurisdiction. You are responsible for all use of the Service under your account, including any use by assistants, office staff, or other individuals whom you permit to access the Service on your behalf. If others (such as nurses or medical assistants) are allowed to use Interactive Care under your account, you must ensure they are aware of and abide by these Terms. Interactive Care may offer multi-user or enterprise account options, but unless explicitly permitted, each account is intended for use by a single clinician user. Account sharing (aside from providing patients access via codes as intended) is not allowed.
Non-Payment: If you fail to pay any fees when due (for example, your payment method is declined or you miss a payment), Interactive Care reserves the right to suspend your access to the Service or terminate your account. If we cannot process your payment, we may attempt to contact you for updated payment information. You agree to reimburse us for any reasonable costs of collection in case of overdue payments, including lawyers’ fees and other legal expenses, as permitted by law.
Patient Access (via Code)
Patients do not need to register an account with Interactive Care. Access for patients is provided through one-time or time-limited access codes supplied by their clinician. If you are a patient (or an individual authorized to act on a patient’s behalf) using Interactive Care, you will receive a unique access code from your healthcare provider. This code allows you to access certain features of the Service for the purposes your clinician intends – for example, to participate in a virtual history-taking interview with the AI avatar, to receive educational information about a procedure, or to go through post-operative care instructions. The access code is typically for one-time use or for use within a limited timeframe and is linked to your interaction or session as designated by your clinician.
By using an access code to engage with Interactive Care, you agree to use the Service only as directed by your clinician and in accordance with these Terms. You understand that your access is provided as part of your clinician’s use of Interactive Care, and that you are not establishing a separate user account or ongoing service relationship with Interactive Care. Do not share your access code with anyone else. The code you are given is meant for your personal use only, for the specific purpose intended by your clinician. Sharing the code or allowing another person to use it could result in unauthorized access to your personal health information and is strictly prohibited. If you lose the code or believe it has been compromised (for example, someone else has seen it), inform your clinician so they can issue a new code if needed.
When using the Service via an access code, you agree to provide information that is truthful and accurate to the best of your ability. The quality and usefulness of the Service (for example, the thoroughness of a history-taking session) depend on the honesty and completeness of your responses. You also agree to follow any guidelines or instructions provided by the Service or by your clinician during the session. If you encounter any technical issues or have questions about what you should do while using the Service, you should contact your clinician for guidance.
No Patient Account: As a patient using an access code, you will not have a persistent user profile or login credentials for Interactive Care. Each interaction may require a new code or a new invitation from your provider. Interactive Care will process and store the information you provide during your session, and those data will be made available to your clinician as part of your medical record or care. (See Privacy and Data Protection below for details on how we handle patient data.) However, the platform will not create an ongoing personal account in your name. For any subsequent uses of the Service, you will need to obtain a new access code from your healthcare provider.
Patient Understanding: You acknowledge that Interactive Care is an informational tool used in conjunction with your healthcare provider’s services. Using Interactive Care does not replace communication with or treatment by your actual provider. Always follow up with your clinician if you have questions or concerns after using the Service. If you feel that the AI avatar’s information is unclear or you do not understand something, it is your responsibility to seek clarification from your clinician. If at any time you feel uncomfortable or do not wish to continue using the Service, you can stop and inform your clinician; you are not obligated to complete any session on the platform.
User Conduct and Obligations
All users of Interactive Care (including clinicians, patients, and any others accessing the Service) must use the platform in a responsible, lawful, and ethical manner. You agree that you will NOT:
Share or misuse access credentials or codes. Do not share your clinician account login credentials with anyone who is not authorized to use your account. If you are a patient, do not share the one-time access code provided to you with any other person. Clinicians should only distribute patient access codes to the intended patient (or their authorized representative) and must not post or publish access codes in unsecured or public forums. Misuse of login information or access codes is strictly prohibited.
Use someone else’s account or code. You must not use, or attempt to use, any account that does not belong to you, or any patient access code that you were not personally given by a treating clinician. For example, do not attempt to guess or reuse access codes, and do not use a code intended for another patient. Using the Service under false pretenses or without authorization is a violation of these Terms and may be unlawful.
Impersonate or misrepresent your identity. You must not impersonate any person or entity or misrepresent your affiliation with any person or entity when using the Service. Clinicians should accurately represent their identity and credentials. Patients should not pretend to be someone else or misstate their identity or medical history. Impersonating another user, whether a patient, a clinician, or an Interactive Care staff member, is strictly prohibited.
Engage in unlawful, abusive, or harmful behavior. You agree not to use the Service for any unlawful purpose or to promote illegal activities. This includes (but is not limited to) not using the platform to harass, defame, abuse, threaten, or stalk others. You must not input or transmit any content through the Service that is offensive, obscene, libelous, false, misleading, or discriminatory, or that encourages any conduct that would be considered a criminal offense or give rise to civil liability. Any form of hate speech, exploitation of minors, or content advocating violence is strictly forbidden.
Upload or submit inappropriate or infringing content. You must not upload, transmit, or share any content on the Service that you do not have the right to use. This includes any material protected by intellectual property rights (such as copyrights, trademarks, or trade secrets) that you do not own or have permission to use, as well as any confidential or private information about others (such as patient data not under your care, or someone else’s personal information) without proper authorization. You also agree not to use the Service to disseminate viruses, malware, or any other harmful code.
Attempt to reverse engineer or tamper with the Service. You are expressly prohibited from attempting to reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code or underlying algorithms of the Interactive Care platform, its AI models, or any component of the Service. Likewise, you must not modify, adapt, translate, or create derivative works based on the Service without our prior written permission. Any attempt to hack, manipulate, or disrupt the Service’s software or data for any purpose (including attempting to access data not intended for you) is a serious violation of these Terms.
Interfere with the operation of the Service. Do not interfere with or disrupt the integrity or performance of Interactive Care or the data contained within it. This means you should not attempt to overload the system (for example, by performing a denial-of-service attack or other attacks), and you should not use any device, software, or routine (such as bots, scrapers, or automated scripts) to interfere with the proper working of the Service or to bypass any measures we use to secure or restrict access to the Service. You agree not to attempt to gain unauthorized access to the Service’s servers, databases, or networks connected to the Service, such as by hacking, password “mining,” or any other illegitimate means.
Misuse data or invade privacy. You must not access, or attempt to access, any data or information on the Service that you are not expressly authorized to access. Clinicians should only access patient information for patients under their own care (or as otherwise permitted by law) and should respect patient privacy at all times. Patients should only access their own session and information. Any attempt to view or retrieve data about other users or patients without authorization is prohibited. Additionally, you agree not to collect or harvest any personally identifiable information from the Service (for example, by scraping user data) without consent.
Use the Service for competitive purposes. You agree not to use the Interactive Care platform or any content within it for the purpose of developing or enhancing a competing product or service. You must not copy or mimic any features, functions, or graphics of the Service to create a competing platform. Furthermore, you should not use the Service to benchmark or analyze its performance for competitive analysis, except with our prior written consent. Any attempt to derive inspiration or data from the Service to benefit a competitor is prohibited.
Circumvent security measures. You must not attempt to disable, bypass, modify, defeat, or otherwise circumvent any security or authentication measures that we have implemented to protect the Service. This includes not trying to evade restrictions on API usage or attempting to access the Service in a way not explicitly permitted by us. If the Service has usage limitations (for example, rate limits on API calls or limits on the number of sessions), you agree to abide by those and not to attempt to circumvent them by using multiple accounts, proxy servers, or other techniques.
Abuse the Service in any other way. You shall not engage in any activity that, in Interactive Care’s sole judgment, interferes with or disrupts the Service or the legitimate use of the Service by others. This catch-all includes refraining from any misuse not specifically listed above. You agree to use the Service only for its intended purpose of facilitating healthcare support and education, and not for any purpose that could harm Interactive Care, its users, its infrastructure, or any third party.
Interactive Care reserves the right to monitor use of the Service for compliance with these rules (subject to applicable privacy laws) and to investigate any suspected violation. We may, at our discretion and without limiting other remedies, suspend or terminate your access for violations of these user conduct rules (see Termination section). You understand that violating any of the above obligations may also subject you to legal liability, whether civil or criminal, under applicable laws.
Medical Disclaimer and No Doctor-Patient Relationship
No Medical Advice: Interactive Care is a provider of a software platform and does not practice medicine or any other licensed profession. The Service, including any information, suggestions, analyses or interactions provided by the AI-powered avatars, is for informational and support purposes only. It is not a substitute for professional medical advice, diagnosis, or treatment. All healthcare-related content available through Interactive Care (such as answers to symptom questions, procedure explanations, or care recommendations) is intended to be used by clinicians as a tool and by patients for general educational purposes in the context of their care. Nothing on the Service is intended to constitute – nor should it be relied upon as – medical advice from Interactive Care. Always seek the advice of a physician or other qualified health provider with any questions you have regarding a medical condition or treatment plan. Never disregard professional medical advice or delay seeking it because of something you have encountered on the Interactive Care platform.
No Doctor-Patient Relationship with Interactive Care: Your use of the Service does not establish a doctor-patient relationship between you and Interactive Care (or any of our personnel or the creators of this platform). Interactive Care is not a healthcare provider. The doctor-patient relationship remains solely between patients and their own licensed healthcare providers (e.g., the clinician who invited the patient to use the platform). The Service facilitates communication and information exchange, but Interactive Care itself is not “providing medical care” to you. Clinicians: your use of Interactive Care with a patient does not create any doctor-patient or provider-patient relationship between the patient and Interactive Care as a company. Patients: interacting with an Interactive Care avatar or software is not the same as consulting a physician, and you should not consider any information provided by the Service as medical advice given to you by Interactive Care. All information obtained should be reviewed by your clinician, who is the person responsible for your care.
Support Tool Only – Clinician Responsibility: Interactive Care should be used only as a support tool by clinicians. While the Service can assist in gathering patient information and providing standardized explanations or care instructions, it cannot and does not replace the need for a licensed healthcare professional’s judgment. Clinicians using Interactive Care are wholly responsible for verifying any information or suggestions the Service provides. They must use their own clinical judgment before taking any action or making any decision based on the Service’s outputs. For example, if the avatar gathers a patient’s history or suggests a possible care instruction, the clinician must confirm the accuracy and appropriateness of that information before relying on it. Interactive Care does not make decisions – it provides data and potential insights for the clinician to consider. Any treatment plans, diagnoses, or medical decisions are entirely the responsibility of the treating clinician. By using the Service, clinicians agree that they will not rely solely on the Service for critical decisions and that they will independently confirm important information.
Patients Must Consult Providers: Patients should use the information obtained from Interactive Care only in consultation with their healthcare provider. The Service may provide useful general health information or reminders, but individual care can vary greatly. Do not use the Service as a standalone source of medical advice for your personal situation. Always follow the personalized advice of your doctor or nurse. If you have received information from Interactive Care that seems to conflict with what your healthcare provider has told you, or that raises new questions, you should promptly discuss it with your provider before taking any action. Never make decisions about treatment or ignore symptoms based on the Service alone.
Not for Emergencies: Interactive Care is not intended for use in medical emergencies or urgent situations. If you are a patient and experience a medical emergency (for example, severe or worsening symptoms, difficulty breathing, signs of a heart attack or stroke, suicidal ideation, etc.), or any situation that you believe is urgent or life-threatening, you should immediately seek emergency medical attention by calling the emergency number in your area (such as 999 or 112 in UAE, 911 in the USA, etc.) or going to the nearest emergency facility. Do NOT use Interactive Care to attempt to contact emergency services, to report an emergency, or to obtain emergency advice. The platform is not monitored for emergency messages and is not equipped to provide emergency intervention. Clinicians should not instruct patients to use the Service as a means of communicating urgent issues; standard emergency protocols should always be followed outside the platform.
Accuracy of Information: While we strive to ensure that the content and information provided by the Service (including medical information, drug names, procedure details, etc.) are accurate and up-to-date, Interactive Care cannot guarantee the accuracy, completeness, or usefulness of any information obtained through the Service. Medical knowledge is constantly evolving, and the AI’s suggestions or content might not always reflect the most current research or tailored advice for a specific situation. Additionally, the information provided by the Service depends on the data given by the user; incomplete or incorrect information from a user can lead to less accurate outputs. All information provided by the Service should be reviewed by a qualified professional before being acted upon. Interactive Care disclaims any liability for harm resulting from reliance on information provided by the Service without the involvement of an appropriate healthcare professional (see Disclaimers and Limitation of Liability below).
By using Interactive Care, you acknowledge these limitations. Clinicians agree that the Service is one of many tools and resources they may use in patient care, and not a definitive authority. Patients acknowledge that any information provided is general and is not a personalized medical directive from Interactive Care. No content on the Service is intended to be, nor should it be taken to be, the practice of medicine or the provision of health care by Interactive Care. Always seek direct consultation with licensed professionals for medical evaluation and treatment.
Intellectual Property
Ownership of the Service: The Interactive Care platform (including the website intcare.org and any related applications, interfaces, and content) and all materials found on or made available through the Service are the intellectual property of Interactive Care or its licensors, and are protected by copyright, trademark, patent, trade secret, and other applicable intellectual property laws. This includes, but is not limited to, the software and code that operate the platform, the AI models and algorithms, the interactive avatar designs and animations, text, graphics, logos, icons, images, audio clips, videos, data compilations, reports generated by the Service, and the overall look-and-feel and compilation of the Service. All rights are reserved by Interactive Care and its licensors. No rights or licenses are granted to you by implication or otherwise except as expressly provided in these Terms.
Limited License to Users: Subject to your compliance with these Terms (and, for clinicians, the payment of all applicable fees), Interactive Care grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service and its content for lawful purposes consistent with these Terms. This license allows clinicians to use the platform for their professional practice (e.g., to assist in treating their patients) and allows patients to use the platform as directed by their clinician for their personal health information and education needs. You may not use the Service or any content from the Service for any commercial purpose other than in connection with providing or receiving medical care (for example, you cannot resell the Service or charge others for using it, and you cannot use outputs from the Service as part of a commercial product or publication without permission).
Restrictions on Use of Content: Except as expressly permitted by Interactive Care, you agree not to copy, reproduce, modify, distribute, transmit, display, perform, or create derivative works of any portion of the Service or any content available through the Service. For example, you must not scrape or download large portions of content from the platform, and you may not reproduce sections of our database or avatar dialogues for republication. Clinicians are permitted to export or print content solely for legitimate medical use – such as printing a summary of a patient’s history or care instructions to include in the patient’s medical record or to give to the patient – but in doing so, you must not remove or alter any copyright, trademark, or other proprietary notices that are presented within that content. Any Interactive Care branding, disclaimers, or legal notices that accompany such outputs must remain intact. Patients may similarly retain copies of information provided to them (like care instructions) for personal use, but may not remove any Interactive Care attribution or legal disclaimer from those materials.
Trademarks: The name “Interactive Care,” our logos, and any other product or service names or slogans displayed on the Service are trademarks or service marks of Interactive Care (unless otherwise noted). You are not permitted to use any Interactive Care trademarks without our prior written consent. This prohibition includes using any metatags or any other “hidden text” utilizing “Interactive Care” or any other name, trademark or product or service name of Interactive Care without permission. All other trademarks, logos, or service marks on the Service are the property of their respective owners, and using our Service does not grant you any right or license to use them.
Feedback: We welcome feedback, suggestions, and ideas from users about the Service (“Feedback”). If you choose to provide Feedback to us, you agree that such Feedback is not confidential and that you have the right to share it. By submitting Feedback, you hereby grant Interactive Care a perpetual, irrevocable, worldwide, sublicensable, royalty-free license to use, implement, copy, modify, publish, and distribute the Feedback, in whole or in part, in any form or medium, for any purpose. Interactive Care may incorporate Feedback into our products or services at our sole discretion, without any obligation to you. You will not be entitled to any compensation or acknowledgement for Feedback (unless otherwise agreed in writing).
User-Provided Content: The primary content users provide on Interactive Care is medical and personal information (in the case of patients) or professional input (in the case of clinicians configuring or using the system). We do not generally expect users to upload content like images, documents, or other media beyond textual information. However, if you do upload or input any content into the Service beyond standard prompts (for instance, a clinician uploading a reference document or a patient uploading a photo of a wound if that feature is available), you represent and warrant that you have all necessary rights and permissions to do so. You retain ownership of any original content you provide, but you grant Interactive Care a license to use, store, and process that content for the purpose of providing the Service to you and in accordance with our Privacy Policy. We will handle any personal or health information as described in the Privacy and Data Protection section. For any non-personal content (e.g., a clinician’s custom educational material you choose to upload), you grant Interactive Care a non-exclusive, royalty-free, worldwide license to use, reproduce, adapt, and display such content in connection with operating the Service. We will not use any user-provided content outside of providing the Service or improving it (in line with privacy protections) without obtaining your permission.
Reservation of Rights: All rights not expressly granted to you in these Terms are reserved by Interactive Care and its licensors. Any unauthorized use of the Service or its content will terminate the limited license granted by these Terms and may constitute a violation of law. Interactive Care shall have the right (but not the obligation) to investigate and prosecute violations of any of the above to the fullest extent permitted by law. We may involve and cooperate with law enforcement authorities in prosecuting users who violate these Terms.
Privacy and Data Protection
Your privacy and the confidentiality of health information are extremely important to Interactive Care. We have implemented policies and security measures to protect personal data. By using the Service, you agree to the collection, use, and disclosure of information in accordance with these Terms and our Privacy Policy. Our Privacy Policy (available on our website) explains in detail how we collect, use, store, and disclose your information, and it is incorporated into these Terms by reference. In summary, and in accordance with that policy, please note the following key points:
Compliance with Privacy Laws: Interactive Care is designed to comply with major data protection and privacy regulations, including the EU General Data Protection Regulation (GDPR), the UAE Federal Personal Data Protection Law (PDPL), and the U.S. Health Insurance Portability and Accountability Act (HIPAA) (to the extent applicable for Protected Health Information). We strive to handle personal data in accordance with these laws and any other applicable privacy regulations. This means we implement appropriate technical and organizational measures to safeguard personal data, honor rights granted to data subjects under these laws, and limit the use and disclosure of personal data as required.
Data Controller vs. Processor: If you are a clinician, in most cases you act as the Data Controller (or equivalent, such as a “Covered Entity” under HIPAA) for the patient information you input into the Service, and Interactive Care acts as a Data Processor (or “Business Associate” under HIPAA). In other words, you (the clinician) determine the purpose and means of processing patient personal data, and we process that data on your behalf to provide the Service. Interactive Care will only process patient personal data in accordance with your instructions (as provided through your use of the Service and as otherwise mutually agreed), and for purposes of providing and improving the Service, fulfilling our obligations under these Terms, and as required by law. If required by applicable law or your institutional policies, we are willing to enter into a separate Data Processing Agreement or Business Associate Agreement (BAA) to formally document this relationship and our privacy and security obligations. By using the Service in a manner that involves the transfer of Protected Health Information (PHI) to us, you are indicating your desire to engage Interactive Care as a Business Associate, and we agree to handle PHI in accordance with HIPAA’s requirements for Business Associates (including implementing administrative, physical, and technical safeguards and not using or disclosing PHI except as permitted by HIPAA and the terms of our BAA or these Terms).
Personal Data We Collect: When you use Interactive Care, we will collect certain data. For clinicians, this may include personal information such as your name, contact details, professional credentials, and payment information (for account setup and billing), as well as any information you input about patients or the clinical context. For patients using an access code, this will include the information you provide during your session (such as answers to medical questions, symptoms, medical history details, etc.), as well as any data your clinician has entered about you (like your demographic information or medical record number, if they input such context for the session). We also collect technical data such as device information, IP addresses, and usage logs, as described in our Privacy Policy. All of this data may be considered “personal data” (and some, like health information, is sensitive personal data) under GDPR, PDPL, or other laws, and “Protected Health Information” under HIPAA when linked to individual identities.
Purposes of Processing: Interactive Care will use personal data solely for legitimate purposes connected with providing the Service. These purposes include: enabling the Service’s functions (e.g., processing patient answers to generate a summary for the clinician, or providing a post-op care dialogue), maintaining and improving the platform’s performance and features (e.g., analyzing usage patterns to enhance the AI’s effectiveness or fix bugs, which we will do using de-identified or aggregated data whenever possible), handling customer support or troubleshooting issues (which might involve accessing session logs or data when you reach out for support), billing and account management for clinicians, and complying with legal obligations (e.g., accounting rules, responding to lawful requests by authorities, etc.). We do not sell personal data to third parties. We do not use patient data for marketing purposes. We will not disclose personal information to third parties except: (a) to service providers working on our behalf who have agreed to confidentiality and use limitations (for example, cloud hosting providers or analytics providers, who help us run the platform – and in all such cases, data is shared only as needed and under data protection agreements); (b) to the clinician or healthcare entity involved in the patient’s care (obviously, patient data is shared with the clinician who provided the access code and any other healthcare providers that clinician has authorized to view the information); (c) as required by law or court order (for instance, to comply with a subpoena or mandatory reporting obligation, in which case we would, where lawful, inform the affected parties); or (d) in the case of an emergency where the information may prevent harm and sharing is legally permissible.
Data Security: We employ security measures in line with industry standards to protect personal data within Interactive Care. This includes encryption of data in transit (e.g., using SSL/TLS for data exchanged with our servers) and encryption of data at rest, access controls to ensure only authorized staff or service providers can access sensitive information, regular security audits, and compliance with security standards required under GDPR and HIPAA (such as access logging, breach detection, etc.). However, no system can be 100% secure, so we also emphasize that users have a role in security: clinicians should keep their account credentials secure (as noted in Clinician Registration and Fees), and patients should protect their access codes. In the event of a data breach involving personal data, Interactive Care will follow applicable breach notification laws, including notifying affected users and authorities as required by GDPR, PDPL, or HIPAA, and cooperating fully to mitigate any impact.
Data Transfers and Storage: By using the Service, you understand that your information may be transferred to and stored on servers located in jurisdictions different from your own. We primarily operate in [specify relevant jurisdictions if known; e.g., “the United Arab Emirates and in the cloud environment which may include servers in the European Union or United States”]. If you are located in the European Economic Area (EEA) or another region with laws governing data collection and use, please note that we may transfer personal data to countries which may not provide the same level of data protection as your home country. In such cases, we take steps to ensure appropriate safeguards are in place to protect your information, such as using Standard Contractual Clauses (SCCs) or other approved transfer mechanisms under GDPR for data transferred out of the EEA, and ensuring any data processors we use abroad comply with PDPL and other relevant laws. By using the Service or submitting your information, you consent to this transfer, storage, and processing of your information in countries outside of your country of residence, under these safeguards.
Clinician Responsibilities (Consent and Lawful Use): If you are a clinician, you are responsible for ensuring that you have a lawful basis to use Interactive Care with your patients’ data. This typically means you should either obtain the patient’s consent to process their personal data in the platform or rely on another legal basis (for example, under GDPR you might rely on the basis of “medical diagnosis or treatment” which is a special category processing condition, or “performance of a contract” if the patient has agreed to use this service as part of their care, or legitimate interests in improving healthcare processes, etc., as appropriate; under HIPAA, you ensure that use of Interactive Care is permitted under the treatment, payment, or operations exceptions and that a BAA is in place). You must provide appropriate privacy notices to patients as required by law, informing them that you will be using Interactive Care and that their data will be shared with Interactive Care (as your service provider) and possibly stored or processed outside their home jurisdiction. If a patient refuses or withdraws consent (where consent is required), you must not use the Service with that patient’s data. Interactive Care relies on you to have proper authorization for any patient data you input. You agree to indemnify us for any consequences arising from your failure to obtain necessary consents or meet legal requirements when using the Service with patient data (see Indemnification).
Data Subject Rights: Individuals in certain jurisdictions (such as the EU or UK under GDPR, or in the UAE under PDPL, and other countries with privacy laws) have specific rights regarding their personal data. These may include the right to access their data, correct inaccuracies, delete data, restrict or object to processing, and data portability, among others. Interactive Care is committed to honoring these rights. If you are a patient using the Service, you should generally direct any requests to exercise data rights to your clinician (who, as the data controller, can retrieve or modify information on your behalf, or ask us to assist). Clinicians can also contact us to help fulfill a patient’s request or to fulfill their own obligations. For example, if a patient requests a copy of the conversation or data collected through Interactive Care, the clinician can provide that (the data is typically available in the clinician’s account dashboard or reports). If a patient wishes to have their data deleted, this likely needs to be balanced with the clinician’s need to maintain medical records under healthcare laws; clinicians should handle such requests consistent with medical record retention requirements, and we will delete or anonymize data upon legitimate request and as permitted by law (keeping in mind we may need to retain some information for legal compliance or record-keeping for a period of time). To exercise any rights directly with us, or if you have any specific privacy-related requests or questions, you may contact us using the information in the Contact Information section. We will respond to such requests in accordance with applicable law.
Retention of Data: Interactive Care will retain personal data only for as long as necessary to fulfill the purposes for which it was collected, or as required by your clinician or by law. For example, patient session data may be retained as part of the clinician’s records. We may retain backup copies for a limited period for business continuity or as needed to comply with legal obligations or resolve disputes. When data is no longer needed, we will dispose of it securely.
Confidentiality: We treat all patient information and clinician-provided data as confidential. We do not use identifying patient information in any publications or external communications. Internally, access to personal data is restricted to personnel who need it to perform their job duties (for example, support engineers or data scientists improving the system, who will be bound by strict confidentiality obligations and ideally will work with anonymized data whenever possible). We also require any subcontractors or subprocessors to adhere to confidentiality and security standards comparable to our own.
In using Interactive Care, you acknowledge that no system is completely immune to risks and you accept the data handling practices described in these Terms and our Privacy Policy. We will promptly inform users of any important changes to our privacy practices or security incidents as required. For full details on our privacy practices, please review the Privacy Policy. By continuing to use the Service, you consent to the collection and use of information as outlined above and in the Privacy Policy. If you do not agree with our data handling practices, please do not use the Service.
Disclaimers and Limitation of Liability
No Warranties: Interactive Care provides the Service on an “as is” and “as available” basis. To the fullest extent permitted by law, Interactive Care and its affiliates, licensors, and suppliers disclaim all warranties, representations, and conditions of any kind, whether express, implied, or statutory, with respect to the Service. This includes, without limitation, implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranties that may arise from course of dealing or course of performance. We do not warrant that: (i) the Service will meet your requirements or expectations; (ii) the Service will be uninterrupted, timely, secure, or error-free; (iii) the information or results that may be obtained from the use of the Service (including any outputs or content provided by the AI avatars) will be accurate, reliable, complete, or suitable for your purposes; or (iv) any errors or defects in the Service will be corrected. Interactive Care does not guarantee any specific outcomes from the use of the platform.
You understand that healthcare-related information provided by the Service is intended as a support tool and not as guaranteed truth or advice (as detailed in the Medical Disclaimer section). Any reliance you place on such information is at your own risk. Interactive Care makes no warranty that the Service’s operation or the quality of any information obtained through it will be up to any particular standard or that the platform is free of viruses or other harmful components. While we strive for accuracy and security, you use the Service at your own discretion and risk. It is your responsibility to ensure that you have appropriate backup systems, critical oversight, and alternative methods for care in place.
Limitation of Liability: To the maximum extent permitted by applicable law, Interactive Care and its parent company, affiliates, licensors, and each of their respective officers, directors, employees, agents, contractors, and partners (collectively, the “Interactive Care Parties”) shall not be liable to you for any indirect, incidental, consequential, special, punitive, or exemplary damages, or any damages for loss of profits, loss of revenues, loss of business opportunity, loss of data, downtime, business interruption, or goodwill, arising out of or related to the Service or these Terms. This limitation applies regardless of the theory of liability (contract, tort, negligence, strict liability, or otherwise) and even if any of the Interactive Care Parties have been advised of the possibility of such damages.
This means, for example, that Interactive Care is not liable for any harm to you or others that may result from: errors or omissions in the content provided by the Service, any delay or failure in the Service’s operation, the actions or decisions you make (or fail to make) by relying on the Service, unauthorized access to or alteration of your data, or any other aspect of using the platform. Interactive Care is not liable for the medical outcomes or health consequences of decisions made by clinicians or patients using the Service. Clinicians retain responsibility for medical judgments – if an incorrect suggestion from the Service is followed without verification and causes harm, that is among the risks of using an AI support tool, and Interactive Care disclaims liability for such scenarios (to the extent permitted by law). Likewise, if you are a patient and misunderstand or misuse information from the Service, Interactive Care is not liable for resulting injuries.
Cap on Direct Damages: To the extent that we are found liable for any claim or cause of action arising out of or related to the Service, our aggregate liability to you for all claims in any given calendar year will not exceed the total amount of fees (if any) that you have paid to Interactive Care in the 12 months immediately prior to the event giving rise to the liability (or, if you have not paid any fees, our liability shall not exceed US $100 or the equivalent in local currency). This limitation is cumulative and not per-incident; multiple claims will not increase the cap. This limitation of liability reflects an agreed allocation of risk between you and us in relation to your use of the Service.
Exceptions: Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for certain types of damages (for example, in some places liability for personal injury or death caused by negligence cannot be excluded or limited, and consumers might have specific statutory rights that cannot be waived). Nothing in these Terms is intended to exclude or limit liability that cannot be excluded or limited under law. In particular, if applicable law prohibits the above disclaimers or limits, then to the minimum extent required by law, those disclaimers or limits will not apply to you, and the extent of Interactive Care’s liability will be the minimum permissible under such law. However, in no event shall any Interactive Care Party be liable for more than the amount specified in the “cap on direct damages” above, except where not permitted by mandatory law.
For example, if a court of competent jurisdiction finds that applicable law does not allow the exclusion of an implied warranty in your case, then that implied warranty is not excluded but is limited to the shortest legally permissible duration or scope. Or, if you are considered a consumer under certain laws, you may have additional remedies; these Terms are not intended to deprive you of those, rather they apply to the extent allowed. In all cases, Interactive Care’s liability is limited to the greatest extent permitted by law.
Release: You agree that, to the extent permitted by law, you release and discharge Interactive Care and the other Interactive Care Parties from any and all claims, demands, and damages of every kind and nature, known and unknown, arising out of or connected with any dispute you have with any other user of the Service or any outcome from using the Service. For example, if you are a patient and have a dispute or issue with your clinician or the care you received (related to the use of this Service or otherwise), that is between you and the clinician – you release Interactive Care from those claims. If you are a clinician and a patient provides inaccurate information via the Service leading to issues, you release us from claims regarding that patient’s actions. You hereby waive any provisions under any local laws that purport to limit this release (for instance, to the extent relevant, you waive any benefits of California Civil Code §1542 which says a general release does not extend to claims which the creditor does not know or suspect to exist, etc., or any similar law in any jurisdiction).
Sole Remedy: Except for the remedies that cannot be excluded or limited under law, your sole and exclusive remedy for dissatisfaction with the Service or for any damage resulting from the Service is to stop using the Service. If you are a paying clinician, you may terminate your subscription as described in Termination; if appropriate, you might seek a pro rata refund if permitted by our policies. But beyond that, you agree that you will not hold Interactive Care responsible or seek damages for performance or non-performance of the Service beyond the limited remedies provided in these Terms.
These disclaimers and limitations form an essential basis of the bargain between Interactive Care and you. You acknowledge that Interactive Care has set its fees and entered into this agreement in reliance on the limitations of liability and the disclaimers of warranties and without these terms, the cost and risks of providing the Service would be higher. If you do not agree to these limitations, do not use the Service.
Indemnification
You agree to indemnify, defend, and hold harmless Interactive Care, its parent company, affiliates, licensors, and each of their respective officers, directors, employees, agents, and representatives (collectively, the “Indemnified Parties”), from and against any and all claims, demands, lawsuits, liabilities, damages, judgments, losses, costs, and expenses (including reasonable attorneys’ fees and court costs) that arise from or relate to:
Your violation of these Terms: Any breach of any provision of these Terms by you or by someone using your account or access credentials (including a patient using a code you provided, if you are a clinician). This includes, for example, claims arising from your failure to comply with user conduct rules (Section above) or any other obligations here.
Your misuse of the Service or unlawful conduct: Your use of the Service in a manner not authorized by these Terms or in violation of any applicable law or regulation. If you use Interactive Care to do something illegal, unethical, or that infringes on others’ rights (such as uploading unauthorized content or violating privacy laws), and someone (or a government entity) makes a claim against Interactive Care because of it, you will indemnify the Indemnified Parties for the consequences. This also covers any actions we take to investigate or remedy suspected misconduct on your part (for example, if we have to hire experts to examine a security breach you caused).
Third-party rights infringement: Any claim that content you submitted, uploaded, or transmitted through the Service (such as data, text or other material you provided) infringes any intellectual property right, privacy right, or other right of any person or entity, or has caused harm to a third party. For instance, if you provide us with materials that violate someone else’s copyright or if you input data about a person without authority and that person complains, you’ll be responsible for those claims.
Patient or user disputes (for clinicians): If you are a clinician, any dispute, claim, or litigation brought by a patient (or someone on a patient’s behalf) arising from your use of Interactive Care in treating that patient. For example, if a patient alleges that using the Service as part of their care led to misdiagnosis, injury, or other harm (such as a claim of malpractice, negligence, or breach of duty), you agree to indemnify and hold harmless Interactive Care and related parties from any resulting liability or expenses. This indemnity applies even if the patient also names Interactive Care in the lawsuit; you would be responsible for covering our costs to the extent the issue arose from your acts or omissions. (Note: We do not seek indemnification for our own sole negligence or willful misconduct; see below.)
Violation of data protection obligations: Any claims or penalties resulting from your failure to comply with data protection laws or to obtain necessary consents as required by the Privacy and Data Protection section. For example, if you (as a clinician) use the Service with a patient’s data without proper consent or lawful basis and a regulatory authority or the patient brings a claim against Interactive Care (say, under GDPR or HIPAA), you will cover us for those claims and any fines or damages.
This indemnification obligation extends to any other scenario in which your actions or inactions result in a claim against Interactive Care that is not primarily due to Interactive Care’s own wrongdoing.
Interactive Care reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you. If we do so, you agree that you will cooperate with our defense of that claim and that you will not settle any such claim without our prior written consent (which we will not unreasonably withhold). You also agree to reimburse us for any expenses we incur in defending such claims (including attorneys’ fees and disbursements), to the extent such expenses and liabilities arise from or relate to the matters for which you are obligated to indemnify us.
Exceptions/Limit on Indemnification: You are not required to indemnify the Indemnified Parties to the extent the claim is caused by our own gross negligence, willful misconduct, or breach of these Terms. If a claim arises solely from Interactive Care’s failure (for example, a security breach purely due to our negligence), then indemnification may not be required from you. But if a claim arises from a mix of our fault and your fault, then the indemnity may apply to the proportion attributable to your actions.
This indemnification provision shall survive termination of your use of the Service or any expiration of these Terms. That means even if you stop using Interactive Care or your account is terminated, you will still be responsible for indemnifying us for any claims arising from your usage during the time you did use the Service or from your breach of these Terms.
Termination
Termination by Interactive Care: We reserve the right to suspend or terminate your access to the Service (including clinician accounts and patient access codes) at our sole discretion, at any time, with or without notice, for any reason or no reason, to the extent permitted by law. This means that if you violate these Terms or if we believe you have violated these Terms (for example, breach of the user conduct rules, non-payment of fees, misuse of patient data, etc.), we may deactivate or delete your account or deny you access to the Service. We may also terminate or suspend the Service or any part of it if required to do so by law (for instance, if providing the Service in a certain region becomes illegal) or if we choose to discontinue the Service (e.g., if the platform is shutting down). In non-emergency situations, we will try to provide advance notice of termination or suspension when feasible (for example, an email warning for a breach if appropriate, or a notice of service discontinuation), but we are not obligated to do so.
Termination by You: If you are a clinician, you may terminate your account or subscription with Interactive Care at any time if you no longer wish to use the Service. You can do this by following the account cancellation procedure provided in the Service (if available) or by contacting us directly to request account termination. If you have a subscription, canceling your account will typically stop any future billing, but you will remain responsible for any fees already incurred (and we generally do not provide refunds for unused time except as stated here or required by law). If you are a patient using an access code, your “account” on Interactive Care is temporary; once your session ends or the code expires, you effectively have no ongoing account to terminate. However, if for some reason you wish to stop using the Service mid-session, you can simply close the session and inform your clinician.
Effect of Termination: Upon termination of a clinician’s account for any reason, your right to access or use the Service will immediately cease. Clinicians must stop using and accessing the Service, and must not attempt to create a new account without our permission. We may delete or deactivate your clinician account and all associated data (except to the extent we are required or permitted to retain certain data under applicable law or as outlined in our Privacy Policy). For example, we might retain some records for audit, compliance, or dispute resolution purposes. If we terminate your access due to a breach of these Terms, we may also cancel any pending patient access codes or other pending uses related to your account.
If you are a patient and your access code session ends (or is terminated by your clinician or by us), you will no longer be able to use that code or access the Service with it. Any data you provided during the session will remain available to your clinician (and stored by Interactive Care on their behalf) but you will not have direct access to the Service unless and until you receive another code from a clinician in the future. If you had any partial inputs during a session that is terminated, those may or may not be saved for the clinician’s review, depending on the circumstances and system design.
Refunds and Fees on Termination: If these Terms or your account are terminated by us due to your breach, you will not be entitled to any refund of fees already paid. In fact, you will be liable for any fees or charges that are accrued or incurred before termination. If we terminate the Service or your account for convenience (meaning not due to any fault of yours – for example, if we decide to discontinue the Service entirely or we terminate your individual account without cause), then if you are a paying user, we will refund any prepaid fees on a pro-rata basis for the remaining period that you will not be able to use. For instance, if you paid for a year in advance and we shut down the Service halfway through, we would refund the unused half-year portion. Any such refund will be your sole remedy for our termination for convenience. If you, as a clinician, terminate your account (and you are not terminating due to a material breach by us), typically we do not provide refunds for the unused portion of your subscription; you will usually continue to have access until the end of the period you paid for, and then the account will close. We may make exceptions or provide refunds in certain cases at our discretion or if required by local law.
Post-Termination Access to Data: After termination, Interactive Care may, in its discretion, provide you (or your healthcare organization) with access to retrieve certain data (for example, patient records or transcripts) for a brief period, but we are not obligated to maintain your data indefinitely unless required by law. Clinicians are advised to export or secure any needed records from the Service prior to terminating their account. We are not responsible for maintaining data after account termination beyond what is required by law.
Survival: The termination of these Terms or of your account will not affect any provision of these Terms that by its nature is intended to survive termination. The following sections (among others which, by their nature, should survive) will survive termination and remain in effect: Intellectual Property, Privacy and Data Protection (to the extent we retain data), Disclaimers and Limitation of Liability, Indemnification, Governing Law and Jurisdiction, Miscellaneous, and Contact Information, as well as any other provisions that are necessary to interpret the rights and obligations of the parties under these Terms.
Interactive Care shall not be liable to you or any third-party for any suspension or termination of your access to the Service, or deletion of your data, provided such suspension or termination is done in accordance with these Terms. Upon any termination of this Agreement, any provisions which by their nature should continue will do so, and any rights you have to use the Service will immediately cease.
Governing Law and Jurisdiction
These Terms and any dispute or claim arising out of or in connection with these Terms or your use of the Service shall be governed by and construed in accordance with the laws of the United Arab Emirates (UAE), without giving effect to any conflict of law principles that might apply the laws of another jurisdiction. In the event you are using the Service from outside the UAE, you understand that the laws of the UAE will apply to your use of the Service and these Terms, and not necessarily any local laws of your country.
You and Interactive Care agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service (including the validity, breach, or termination thereof) shall be subject to the exclusive jurisdiction of the courts of the United Arab Emirates. Unless another location within the UAE is mandated by law, the courts of the UAE (for example, the civil courts located in the Emirate where Interactive Care is registered, if applicable) will be the venue for resolving such disputes. Both you and Interactive Care consent to the personal jurisdiction of these courts.
By agreeing to these Terms, you waive any objections to the exercise of jurisdiction over you by such UAE courts and to venue in such courts, including any claim that such legal proceedings have been brought in an inconvenient forum. You further agree that we may bring a legal action against you in the courts of your country of residence if necessary to enforce our rights under these Terms or to recover damages for your breach of these Terms, but this does not waive the application of UAE law as stated above.
No Geographic Restrictions on Use: We reiterate that Interactive Care imposes no geographic restrictions on where the Service can be accessed (subject to internet availability and compliance with local law), but use of the Service is still subject to UAE law and these Terms regardless of your location. If you are accessing the Service from a location outside the UAE, you are solely responsible for complying with any local laws applicable to your use. If any dispute arises, UAE law and courts will still govern and adjudicate per this section, to the extent enforceable.
Government and Regulatory Inquiries: If you are a user in a jurisdiction outside the UAE and a local law gives you a right to bring a claim in that jurisdiction’s courts (despite the above agreement on UAE jurisdiction), these Terms shall not limit any of your rights to do so that cannot be waived by contract. However, our choice of UAE law will still apply to the extent permitted. In any event, nothing in these Terms affects your rights to report issues to administrative authorities (such as data protection authorities or medical boards) in your jurisdiction.
This Governing Law and Jurisdiction section shall survive any termination of these Terms.
Changes to Terms
Interactive Care may, from time to time, update or revise these Terms and Conditions. As our Service evolves or laws change, we might need to modify the terms under which we offer our platform. Whenever we make a material change to these Terms, we will make reasonable efforts to inform you. This may include posting the updated Terms on our website with a new effective date (and a summary of key changes, if appropriate) and/or sending registered clinicians an email or in-service notification advising of the update. We encourage you to review these Terms periodically to stay informed about your obligations and rights when using the Service.
Effective Date of Changes: Any changes to these Terms will become effective when we post the revised Terms to our website (or on the date specified in the notice, if a later date is stated). The “Last updated” date at the top of this document will reflect the date of the latest modifications. If you have an account, we may additionally notify you of major changes, but it is ultimately your responsibility to check for updates.
Acceptance of Changes: By continuing to use the Service after the revised Terms have become effective, you agree to be bound by the updated Terms. If you do not agree with any amendment to the Terms, you must stop using the Service and, if you are a clinician, you should cancel your account or subscription before the new Terms apply to you. For clinicians, if a change in Terms materially affects your use or your rights (for example, a significant change in liability terms or legal rights), and you do not agree to the new Terms, you may terminate your subscription (as described in Termination) and, if applicable, seek a prorated refund for any prepaid period you will not use due to termination, by contacting us.
Minor Changes: Not all changes will be significant. Minor changes (for example, clarifications, typographical corrections, or changes that do not reduce your rights) may be made without specific notice to you other than updating the Terms on the site. It is your responsibility to check the Terms whenever you use the Service. We will not retroactively change provisions for past activities; any changes will be prospective (going forward).
By accepting these Terms, you agree that Interactive Care can change the Terms in this manner and that no additional consent from you is required. If you have any questions about the Terms or any changes to them, please contact us using the information below.
Miscellaneous
Entire Agreement: These Terms (together with any Privacy Policy, and any other guidelines or additional terms incorporated herein by reference) constitute the entire agreement between you and Interactive Care regarding the Service. They supersede and replace any and all prior or contemporaneous understandings, communications, or agreements, written or oral, regarding the subject matter hereof. In other words, no oral or written information or advice given by any party (including any Interactive Care representative) shall create any warranties or contractual obligations beyond those expressly stated in these written Terms. You acknowledge that you have not relied on any representation, warranty, or statement not expressly set out in these Terms in entering into this Agreement.
Severability: If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, then that provision shall be enforced to the maximum extent permissible (to effect the intent of the parties) and the remaining provisions of these Terms will remain in full force and effect. If a portion of any provision is deemed unenforceable, that provision shall remain in effect to the extent permitted. The invalid provision will be deemed modified so as to be valid and enforceable to the fullest extent allowed (or, if it cannot be modified, then severed), in each case preserving the intent of the original provision as nearly as possible.
No Waiver: No waiver by Interactive Care of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of that term or any other term, and any failure of Interactive Care to assert a right or provision under these Terms shall not constitute a waiver of such right or provision. In other words, if we do not enforce a provision at any given time, we are not waiving our right to enforce it in the future. Any waiver of any provision of these Terms will be effective only if in writing and signed by an authorized representative of Interactive Care.
Assignment: You may not assign or transfer these Terms, nor any rights or obligations hereunder, in whole or in part, to any other person or entity without our prior written consent. Any attempt to assign in violation of this clause is void. Interactive Care may freely assign or transfer these Terms (in whole or in part) to: an affiliate, a successor in interest (for example, in connection with a merger, acquisition or sale of assets), or any entity that assumes our business or operations that relate to the Service. These Terms will bind and inure to the benefit of the parties and their respective successors and permitted assigns.
No Third-Party Beneficiaries: These Terms are solely for the benefit of you and Interactive Care. Except as expressly provided in the Indemnification section (where the Indemnified Parties are intended third-party beneficiaries of your indemnification obligations), and except for Interactive Care’s licensors (who may enforce intellectual property rights relevant to their licensed content), there are no other third-party beneficiaries to these Terms. This means that no other person or entity (including, for example, any patient who is not party to these Terms, or any of our other users) will have any rights to enforce any provision of these Terms.
Relationship of Parties: Nothing in these Terms is intended to create any agency, partnership, joint venture, or employment relationship between you and Interactive Care. You and we are independent contractors with respect to these Terms and the Service. Neither you nor Interactive Care has any authority to bind or act on behalf of the other.
Force Majeure: Interactive Care will not be liable for any failure or delay in performance of its obligations (other than payment obligations) under these Terms if such failure or delay is caused by events beyond Interactive Care’s reasonable control. This includes, but is not limited to, acts of God, war, terrorism, hostilities, civil commotion, pandemic or epidemic events, governmental actions, labor dispute or strike, electrical or telecommunication outages, internet disturbances, software or hardware failures not caused by us, fire, flood, earthquakes, or other natural disasters. Interactive Care will use reasonable efforts to mitigate the effect of a force majeure event and resume full performance as soon as reasonably possible.
Notices: Interactive Care may provide notices or communications to you through your account dashboard, via email to the address associated with your account, by regular mail, or through postings on our website. You agree that all agreements, notices, disclosures and other communications that Interactive Care provides to you electronically satisfy any legal requirement that such communications be in writing. If you need to give formal notice to us for any reason (such as legal notices, contract termination notices, or breach notifications), you must do so in writing to the address provided in the Contact Information section below (with a copy via email as courtesy, if you wish), unless we specify an alternative method. Notices will be deemed given: (i) if by hand or courier, upon receipt; (ii) if by certified mail, return receipt requested, five (5) business days after dispatch; (iii) if by email, upon confirmation of transmission or receipt (e.g., by not receiving a bounce-back and having some confirmation like a reply or read-receipt, though email alone may not constitute legal notice for some matters unless acknowledged).
Language: These Terms and any related documents or communications are in the English language. If we provide a translation of these Terms into another language, it is for convenience only. In the event of any conflict between the English version and a translation, the English version will prevail.
Headings: Section titles and headings in these Terms are for convenience only and have no legal or contractual effect.
If any provision of the Miscellaneous section conflicts with any earlier section of these Terms, the earlier section shall prevail to the extent of the conflict, as it is more specific.
